1. Who these terms apply to
These Terms of Service govern access to the NextAudience website and advertising services operated by Saambaa Operations, LLC (“NextAudience,” “we,” “us,” or “our”). “You” means the creator, individual or organization purchasing services and any person authorized to act on their behalf.
Our services are intended for adults at least 18 years old promoting their original work. If you act for a business, you represent that you are authorized to bind it. A paid campaign is governed by the order, proposal, or checkout terms you expressly accept (your “Order”), together with these Terms. If an Order expressly conflicts with these Terms, the Order controls for that campaign.
Submitting an inquiry or requesting an ad preview does not create a paid campaign, enroll you in recurring billing, or authorize a charge. We will present applicable terms for your acceptance before you purchase services.
2. What NextAudience provides
NextAudience arranges website display advertising, including ad creation, content-based audience recommendations, article-topic matching, campaign management, and reporting, as described in your Order. A display ad appears alongside existing content; it is not an editorial article about your content.
Publisher availability varies by inventory, campaign and publisher requirements. We manage distribution across available websites. Unless expressly agreed in an Order, you cannot choose individual websites, specific articles, exact positions, or publication times.
Publisher names and examples describe potential inventory or existing business relationships. They do not guarantee placement on a named website or imply that a publisher endorses you, your ad, or NextAudience.
3. Previews, creative, and approval
Previews are illustrative. Actual appearance can vary by website, screen size, and ad format. Before launch, you review and approve the ad creative and our audience assumptions, recommended article topics, suggested websites and the agreed campaign details. Your approval confirms that claims, prices, offers, contact information, and destination links are accurate and authorized.
A campaign starts only after you approve the creative and purchase the campaign, subject to agreed scheduling and any publisher review. If you delay providing materials or approval, we may agree to a revised schedule. We will not treat a preview request as permission to publish.
Changes after approval may require a new review or schedule. Any additional fee must be disclosed and agreed before the additional work is performed.
4. Pricing, payments, and renewal
Your Order specifies the fixed campaign price, ad-view quantity, approved recommendations, estimated delivery window, agreed end date and payment terms. Prices are in U.S. dollars unless stated otherwise. Additional charges must be disclosed before purchase.
Campaigns are one-time purchases, not subscriptions. No automatic renewal or recurring charge is authorized. Additional campaigns require a new approval and invoice. Delivery is not tied to a fixed monthly period. We confirm the campaign schedule before launch; any material change requires your agreement.
Your campaign starts after approval, payment and final setup. We may pause delivery for overdue payment after notice.
5. Cancellation and delivery shortfalls
A purchased campaign is a firm commitment. Subject to Sections 7 and 9, we continue delivery according to the agreed Order. A change of mind or dissatisfaction with results does not alone entitle you to a refund. Any mandatory cancellation or refund right remains available.
If we cannot deliver the agreed ad-view quantity by the agreed end date, you may choose an agreed extension or replacement delivery, or a proportionate refund for undelivered advertising. We will not substitute materially different targeting without your agreement. If we decline or discontinue a campaign, we refund undelivered advertising, less only separately priced completed work or noncancelable costs expressly agreed in advance.
6. Measurement and campaign results
“Ad views” means recorded ad displays used for campaign delivery and reporting. They are not a count of unique people and do not guarantee that a person noticed or interacted with an ad. Unless an Order specifically says otherwise, ad views are not a promise of independently verified viewable impressions.
Delivery is measured using our ad-serving records and applicable campaign reporting systems. Reports from different platforms can vary because of counting methods, blocking, filtering, or technical conditions. Contact us if you see a discrepancy so we can investigate and reasonably correct confirmed errors.
We do not guarantee clicks, leads, sales, conversion rates, revenue, return on advertising spend, or other business outcomes. That does not remove our obligation to provide the advertising delivery and services expressly agreed in your Order.
7. Your content and responsibilities
You are responsible for the legality and accuracy of your advertising, offers, products, services, and linked website, including required professional licenses, disclosures, consents, and substantiation for claims. You must have the rights needed to use the names, logos, images, testimonials, and other materials you supply.
You grant us and the providers involved in your campaign a nonexclusive license to use, reproduce, resize, adapt, and display those materials as needed to prepare previews, deliver the campaign, and provide reporting and support. You retain ownership of your materials.
Customer names and case studies
Unless you expressly opt out, you also authorize us to identify your work as a customer and use its creator or organization name, logo, and examples of publicly displayed campaign creative on our website, in customer lists, case studies, presentations, and other marketing materials. This permission does not authorize disclosure of confidential information or nonpublic campaign results, or fabrication of a testimonial or endorsement.
You may opt out at any time by emailing support@saambaa.com or notifying us in writing. After receiving an opt-out, we will stop new promotional uses and promptly remove existing uses from materials and websites under our control. We cannot recall printed materials already distributed or copies controlled by third parties.
Prohibited advertising and review rights
Ads must not promote or glorify hate, violence, terrorism, abuse, harassment, or unlawful discrimination, or encourage harm against a person or group. Ads must not contain unlawful, deceptive, infringing, malicious, sexually exploitative, or otherwise harmful content. You must not use advertising to distribute malware, collect information unlawfully, interfere with our systems, or impersonate another business. Regulated advertising is subject to applicable law and publisher requirements.
We reserve the right, in our sole discretion, to decline, reject, remove, or suspend any ad or campaign for any reason permitted by applicable law, whether or not it falls within the categories listed above. Prior approval does not require us or a publisher to continue carrying an ad. Any refund for advertising we do not deliver is governed by Section 5.
8. Creative and platform ownership
We retain ownership of our platform, templates, tools, processes, and preexisting materials. You retain ownership of the materials you supply.
We may, at our discretion, provide a free copy of final ad creative we make for your work. If we provide that copy, you receive a nonexclusive, ongoing license to use it to advertise your work elsewhere, subject to any third-party license restrictions we disclose and any expressly agreed payment terms. Providing a copy does not transfer ownership of our underlying tools or third-party assets and does not require us to supply editable source files or adapt the creative for other platforms.
Creative may include licensed or AI-assisted elements. You must review the final ad for accuracy and suitability; we do not promise that stock or AI-assisted elements are exclusive to your work. We will disclose relevant third-party restrictions affecting outside use when providing the creative.
9. Service changes and suspension
Publisher policies, inventory availability, technical conditions, and legal requirements can affect delivery. We may pause, reject, remove, or discontinue an ad or campaign in our sole discretion for any reason permitted by applicable law, including legal, security, payment, content, or publisher concerns. Where practical, we will notify you of a suspension and allow a remediable issue to be addressed; we are not obligated to accept or continue any particular ad.
If we cannot complete your Order, we will discuss an alternative or refund the undelivered portion as provided in Section 5. Our review and suspension rights do not create a right for you to cancel a purchased campaign.
10. Privacy and communications
Our Privacy Policy explains how we handle personal information. We use the contact details you provide to respond to your request and manage services, including the disclosed email and sales-call follow-up. You can ask us to stop promotional communications at support@saambaa.com.
A preview request does not by itself authorize marketing texts, automated calls, or other communications that require separate consent. Service-related notices may still be sent as needed for an active campaign or legal obligation.
11. Warranties and liability
We will perform the services with reasonable care. Except for express commitments in an Order or these Terms, the website and services are provided “as is” and “as available” to the extent permitted by law. We do not warrant uninterrupted operation or business outcomes.
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, or consequential loss arising from these services. Each party’s aggregate liability for claims arising from the services is limited to the fees paid or payable under the affected Order during the 12 months preceding the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, amounts properly owed for purchased services, refunds expressly required by these Terms, or liability that cannot lawfully be limited. Nothing here excludes a nonwaivable statutory right.
12. Disputes and general terms
Please contact support@saambaa.com first so we can try to resolve a concern. These Terms are governed by California law, without its conflict-of-law rules, except where a mandatory law requires otherwise. Subject to nonwaivable rights, disputes may be brought in state or federal courts located in San Diego County, California.
These Terms do not require arbitration or waive a right to participate in a class action. If a provision is unenforceable, the remaining provisions continue in effect to the extent permitted by law. Failure to enforce a provision is not a waiver of future enforcement.
We may update these Terms prospectively. Material changes affecting an existing paid Order require notice and any agreement required by applicable law; posting an update does not retroactively change an accepted campaign. New Orders are subject to the version presented when accepted.
